1. Agreement to Terms

By purchasing from Black Lock Labs LLC (“Black Lock Labs,” “the Company”), the Purchaser agrees to be legally bound by this Terms and Conditions of Sale & Research Use Agreement (“Agreement”).
If any condition is unacceptable, do not proceed with purchase.

2. Research Use Only — Absolutely No Human or Animal Use

All products are expressly intended for laboratory research and development or educational use only.
Products are not intended for human consumption, injection, ingestion, inhalation, transdermal or topical use, veterinary use, diagnostic procedures, or any in vivo application.
Products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) or any regulatory authority for medical, therapeutic, or diagnostic use.

3. Purchaser Representations & Warranties

Purchaser affirms being 21 years of age or older and legally competent to enter binding agreements.
Purchaser is a qualified researcher, laboratory, or institutional buyer with appropriate training and facilities to safely handle research chemicals.
Purchaser will use products solely for lawful in vitro research or educational purposes and in conformity with all applicable laws, regulations, and safety standards.
Purchaser will prevent resale, redistribution, or diversion of products in any manner that would contravene this Agreement or law.

4. No Medical or Therapeutic Claims

Black Lock Labs makes no representation that any product is safe, effective, or appropriate for any medical, cosmetic, performance, or therapeutic use.
No statement on this website or in any communication shall be construed as medical advice or as a claim of diagnosis, treatment, mitigation, cure, or prevention of disease.

5. Assumption of Risk

Handling chemical and research compounds involves inherent risks, including toxicity, instability, and other hazards.
Purchaser acknowledges being qualified to manage such risks and accepts sole responsibility for the safe handling, storage, and lawful use of all products.
The Company disclaims liability for any personal injury, death, property damage, or regulatory noncompliance arising from use or misuse.

6. Product Specifications & Warranty Disclaimer

All products are sold “AS IS” and “WITH ALL FAULTS.”
No warranties of any kind—express or implied—are provided, including merchantability, fitness for a particular purpose, non-infringement, identity, purity, stability, or suitability for any specified experiment.
Minor variations in appearance or specifications may occur due to the nature of chemical manufacturing and do not constitute defects or grounds for refund.

7. Shipping, Risk of Loss, Damages & Temperature Control

Risk of Loss: Title and risk of loss transfer to the Purchaser once the shipment is handed to the carrier.
Carrier Issues: Black Lock Labs is not responsible for delays, delivery errors, theft, weather damage, customs holds, or any damage during transit. Any claims must be filed by the Purchaser directly with the carrier.
Inspection Upon Receipt: Purchaser must inspect all shipments and notify both the carrier and Black Lock Labs of visible damage within 48 hours. Failure to report promptly may void eligibility for assistance.
Temperature-Sensitive Goods: Cold packs or insulation may be included as a courtesy. The Company does not guarantee temperature maintenance after carrier acceptance; Purchaser assumes all risk for temperature changes in transit.
Incorrect Address / Delivery Attempts: Purchaser is responsible for accurate shipping information and timely pickup. Reshipments caused by address errors, refusals, or unclaimed parcels may incur extra charges.
Force Majeure: The Company shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including natural disasters, labor disputes, carrier interruptions, government actions, or supply chain issues.

8. Returns & Replacements

Due to the nature of research materials, all sales are final.
At the Company’s sole discretion, limited replacements may be considered for verifiable defects not caused by shipping or storage conditions after delivery. Requests require prompt written notice and supporting evidence.

9. Limitation of Liability

To the maximum extent permitted by law, Black Lock Labs, its owners, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages of any kind arising from or related to products or this Agreement, even if advised of the possibility of such damages.

10. Indemnification

Purchaser agrees to indemnify, defend, and hold harmless Black Lock Labs LLC and its affiliates, officers, employees, and agents from any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from Purchaser’s breach of this Agreement, misuse of products, or violation of law.

11. Compliance & Legal Responsibility

Purchaser is solely responsible for ensuring that the purchase, possession, and use of products are legal in their jurisdiction; for maintaining secure storage and access controls; and for preventing diversion or misuse by others.

12. Order Acceptance & Termination

Black Lock Labs reserves the right to refuse, cancel, or limit orders at its sole discretion, including requiring proof of research affiliation or professional qualification before fulfillment.

13. Governing Law & Venue

This Agreement is governed by and construed under the laws of the State of Georgia, USA. All disputes shall be resolved exclusively in state or federal courts within Georgia, and Purchaser consents to such jurisdiction and venue.

14. Amendments • Severability • Entire Agreement

The Company may update this Agreement at any time by posting a new version on its website. If any provision is found invalid or unenforceable, the remaining sections remain in full effect. This document constitutes the entire agreement between Black Lock Labs and the Purchaser.

15. Final Acknowledgement

By continuing to checkout, the Purchaser confirms:

They are 21 years of age or older.
All products are being purchased solely for lawful research purposes.
They fully understand and accept all terms herein.
They release Black Lock Labs LLC from any liability related to the use or misuse of its products after delivery to the carrier or receipt by the Purchaser.
